Terms of Service

These Terms of Service (the "Terms") govern your use of the TSS AI contract redlining dashboard (the "Service"), an internal tool operated by The Sociable Society's Business Affairs team ("we", "us", or "TSS"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility and access

The Service is provided exclusively to individuals authorized in writing by The Sociable Society's Business Affairs team. Your ability to sign in depends on inclusion of your email address on an internal allowlist. Access is non-transferable. You may not permit any other person to use your account.

We may revoke your access at any time, with or without notice, for any reason, including but not limited to violation of these Terms or termination of your engagement with The Sociable Society.

2. Description of the Service

TSS AI is an AI-assisted contract review tool that proposes redlines on brand-side influencer agreements based on a clause framework maintained by The Sociable Society. The Service uses third-party AI inference (Anthropic Claude) to generate suggested edits, and optionally interacts with Google Drive and Google Docs APIs on your behalf to read source contracts and write comments or tracked changes back to documents you have access to.

3. Your responsibilities

  • You represent that you have all necessary rights and authority to upload, paste, or submit any contract text or document to the Service.
  • You will use the Service only for legitimate Business Affairs activities at The Sociable Society or activities approved by The Sociable Society.
  • You acknowledge that AI-generated suggestions are not legal advice. Every redline produced by the Service must be reviewed by a qualified attorney before being communicated to the counterparty. You are responsible for the final content of any redline applied to a contract.
  • You will not attempt to reverse-engineer, decompile, or circumvent the access controls of the Service. You will not use the Service to develop a competing product.
  • You will keep your sign-in credentials confidential and notify us immediately of any unauthorized use of your account.

4. Disclaimer of warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED OUTPUT.

AI-generated content may contain errors, omissions, or hallucinated facts. The Service is a productivity tool, not a substitute for human legal judgment.

5. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE SOCIABLE SOCIETY OR ITS AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total cumulative liability for all claims arising out of or related to the Service shall not exceed one hundred U.S. dollars (USD $100), or, if greater, the total amount paid by you to us in the preceding twelve (12) months.

6. Intellectual property

  • Your content: you retain all ownership and intellectual property rights in the contract text and documents you submit to the Service. By submitting content, you grant us only the limited, non-exclusive right necessary to process the content for the purpose of providing the Service to you.
  • Our content: we retain all ownership and intellectual property rights in the Service, including the source code, knowledge base of clause templates and redline rules, and any documentation. Nothing in these Terms transfers ownership of our intellectual property to you.

7. Privacy

Our handling of personal information and contract content is described in our Privacy Policy, which is incorporated into these Terms by reference.

8. Third-party services

The Service depends on third-party platforms (Anthropic, Google, Vercel). We are not responsible for the availability or performance of those third-party services. Your use of Google and Anthropic features through the Service is also subject to their respective terms.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason. You may stop using the Service at any time by signing out and revoking the Service's access to your Google account. Sections 4 (Disclaimer), 5 (Limitation of liability), 6 (Intellectual property), and 11 (Governing law) survive termination.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected in the "Last updated" date at the top of this page. Continued use of the Service after a change constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and the parties consent to the personal jurisdiction of those courts.
